When I first heard about Joystar I had to buy stock in the company. I purchased 50,000 shares not long ago. I keep thinking Travelzoo (TZOO) or Expedia.com. Except Joystar is trading at .38 Cents!

Joystar is the nation's largest and fastest growing travel agency network. The Company specializes in selling complex travel products including cruises, vacation packages and group travel through its national sales force of 1,800 professional agents. Joystar's comprehensive business combines innovative technology, marketing opportunities and expert support services to the Company's independent and home-based travel agents.

With Joystar, professional travel agents can concentrate on promoting travel and creating customer loyalty without the administrative and financial burden of owning/operating a traditional storefront travel agency.

Company Highlights:

Joystar is experiencing 20% month over month growth in the size of its agency network and is on track to have over 3500 professional agents by year end 2005.
Joystar is experiencing 25% month over month increases in its gross sales for 2005.
Joystar is experiencing significant revenue growth in 2005 as its network of professional travel agents continues to expand. The Company anticipates having over 3500 professional agents by year end and, with the possibility of new professional agents attaining an average of $100,000 in gross bookings.
Joystar's management has over a combined 85 years experience in the travel industry.
Joystar has taken the rapidly growing market for online travel bookings one step further by offering programs to the leisure and small business traveler an opportunity to become their own travel agent, thereby reaping the benefits of lower travel costs through discounted travel fares and commissions.
Joystar's software and hardware infrastructure is in place to service upwards of 8,000 to 10,000 professional home-based travel agents.
Joystar has forged alliances with an impressive list of preferred travel suppliers and providers access to the leading global distribution system (GDS), and airline consolidator databases.
Joystar has developed an infomercial as a marketing program to attract new home-based travel agents.
Joystar has a stock option based loyalty program to attract and keep experienced professional home-based travel agents.
The Company and its Offerings

Joystar provides technology and support for professional, home-based travel agents. These services are targeted toward experienced travel agents that are leaving their "bricks and mortar" travel agencies and establishing home based operations. Joystar receives revenue from annual membership fees from new agents, as well as from travel transactions from its customers and agents. Joystar offers reliable, real-time access to research and reservation services for over 400 airlines, 60,000 lodging properties, all major cruise lines, tour operators, and car rental companies.

Joystar has developed and is marketing its Home and Office Based Travel Agencies (see website at http://www.joystar.com) through infomercials and at industry trade shows sponsored by Agent@HomeExpos. Joystar targets these offerings to three main groups:
The tens of thousands of professional travel agents migrating to home-based operations.
The growing population of people who wish to supplement their primary income through working part-time, as well as full-time home-based entrepreneurs.
The affluent leisure travelers and small business owners who are looking to save money on their travel.
Over and above Joystar's professional travel agent network, the Company was designed for individuals who desire to earn a part-time or full-time income from their home or office. The program offers part-time home-based agents the opportunity to generate commissions on their own travel, as well as travel purchases made by individuals they refer to Joystar's professional agents. The "newbie" travel agent program centers more on loyalty marketing than on any special skills required by the independent agent, as the actual bookings, payment processing, and fulfillment are handled by Joystar professional agents or the travel supplier (airline, hotel, cruise line, etc.).

The benefits of being an independent travel agent include access to "agent only" specials and the opportunity to qualify for deeply discounted travel offered by travel suppliers. Booking tools, exclusive specials, online training and educational opportunities, important news, and comprehensive information for initiating and increasing sales are all available to Joystar travel agents.

Joystar believes it offers the best of the online travel-booking models with instant access to vast amounts of information and the supportive service from experienced Joystar travel agents. Joystar provides its "outside" travel agents and their customers reliable, real-time access to one of the largest databases of "published" travel products. In addition, agents are provided access to "unpublished" fares. ("Unpublished" airfare is a consolidator or wholesale fare that is not offered to the public and is only available to travel agents. Consolidator fares are transactions where airlines contract with consolidators for to sell excess seats on certain flights, and the consolidators in turn resell these seats to travel agents, allowing the agent to mark up the fare and still offer the customer the same or lower fare than that "published" by the airline.)

The Online Travel Market and Competition

In 2000, only 7.3% of travel bookings were made online. In 2004, over 40 million Americans booked approximately $57 billion in travel online. The online travel booking market is growing approximately 30% annually. As the number of Internet travel-bookers increases, the number of online travel bookings could exceed these estimates.
Travelstar.com

The Company also sells travel through Travelstar.com. All consumer leads generated from the site are distributed to Joystar's professional travel agent network.

Joystar's competitors for online travel booking include Expedia, Orbitz, and Travelocity, to name a few. In addition, most major travel suppliers such as airlines, hotels, and car rental services also offer online reservations. However, Joystar, with its travel agent reward-oriented program, goes one step further by offering the online travel-booker the opportunity to earn travel discounts and the opportunity to create income.

The largest direct competitor to Joystar's independent agent part-time business model is Global Travel, (GTI), a private company based in Maitland, Florida, which has been in business over 10 years and reports to have 35,000 independent travel agents producing annual gross travel bookings of over $100 million. GTI's charge to become an Associate Travel Agent is $470.00. Joystar believes its emphasis on marketing, its stock option based loyalty program and the lower price for the beginning part-time agent of only $149.00, will permit Joystar to increase its market share.

Business Plan

The Internet provides computer-knowledgeable Web-surfing travelers the ability to search, find and book their own travel arrangements online. Joystar is addressing this online travel market and is specifically targeting knowledgeable travelers who want to take the next step in booking online travel by becoming a home-based part-time travel agent.

There are countless travel services available to travelers on the Internet. However, Joystar is the only public company that has taken the "next step" by offering Internet-based programs that provide income compensation to enrolled agents.

Joystar believes it has established a set of websites that will not only allow travelers to find the most economical fares, they will have the ability to easily book travel (similar to Expedia, Travelocity, Orbitz, etc.) at low fares and create income at the same time. Under this model, the traveler becomes a "partner" as a travel agent with Joystar and has the opportunity to create income by performing the function of travel agents.

The benefits of being either a home-based part-time agent or an experienced professional travel agent include the agent's personal website, access to "agent only" specials and deeply discounted travel offered by travel suppliers, cash incentives, and the possibility of upgrades when the agent is traveling. Booking tools, exclusive specials, online training and educational opportunities, important news and comprehensive information for initiating and increasing sales are all available to Joystar travel agents. Essential to this business model is offering meaningful preferred supplier relationships for the benefit of the traveler.

Over 50 major travel suppliers have agreed to provide travel products and services in specific markets to agency members. The benefit to Joystar by concentrating on this group of preferred suppliers is a higher rate of commissions for Joystar. In addition there is the opportunity for co-sponsored advertising between Joystar and the preferred suppliers.

Table 1. Joystar Preferred Suppliers

Sources of Revenue for Joystar
Initial and renewal fees from part-time home based travel agents at $149 per agent annually.
Agency revenues are derived when Joystar acts as agent in booking airline ticket, hotel, cruise, vacation package, and car rental transactions.
Merchant revenues are derived from transactions when Joystar is the merchant of record and determines the price. Joystar accesses hotel suppliers and airline consolidators for blocks of inventory that are sold to the traveler after an appropriate mark-up (The merchant revenue transaction is similar to transactions with wholesale brokers on Wall Street).
Joystar also sells travel services through other websites and distribution channels, and offers co-branded online travel business where the co-branded company supplies Joystar services and inventory to certain third-party websites. When a customer books travel on a Joystar co-branded site, Joystar collects the revenue and pays the third party a transaction fee for each sale generated through the partners' websites.
Long-term Goals for Part-time Home-based Travel Agents and Professional Agents

Home-based Travel Agents

Joystar's goal is to sign 2,000 professional agents by the end of the second quarter of 2005 and 10,000 by the end of 2007 each generating an average of $100,000 per year in sales. On a long-term basis, Joystar's goal is to sign up 50,000 "newbie" agents over the next three years and 150,000 "newbie" agents over the next seven years.

To attract home-based part-time agents, Joystar developed a 30-minute infomercial in September, 2004. This marketing tool will be aired on both network and cable channels, including the Travel Channel. The infomercial targets approximately 13.0 million people who may wish to generate additional income from home and computer knowledgeable travelers who may wish to access Joystar's booking technology and utilize the innovative travel savings programs.

Professional Agents

Since the Company's formal launch of its professional agent hosting program, Joystar has signed up over 1800 professional agents. Joystar's goal for professional agents over the next three years is to sign up 10,000 agents. Membership benefits to the selected professional travel agents include:
Joystar, Inc.
zero start-up costs
no annual renewal fees
no monthly fees
free consumer travel website (www.yourname.joystar.com)
free "Agents Only" website (www.joystar.com/agentsonly)
earn 90% of the commissions generated restricted stock option plan
IATAN and CLIA cards*
solo 401K for retirement planning
*IATAN card issued by International Airlines Travel Network and CLIA is issued by Cruise Lines International Association. Holders of these cards receive discounts on air, hotel and cruise travels.

Travelstar.com
The Third Leg of the Revenue Model is the Affiliate Programs

Travelstar.com, the Company's consumer-oriented website will compete directly with Expedia, Travelocity, and Orbitz. The differentiator is the affiliate program, which will be launched in the fourth quarter of 2005 will allow online marketers to earn up to 70% of the revenues every time a visitor clicks on a link to Travelstar.com and books travel and up to 30% when their visitor books with the help of an experienced agent or enrolls in one of Joystar's Agent or Travel Rewards programs.

Additionally, Joystar will pay a referral fee of up to 30% for any referred individual who enrolls in one of Joystar's agent programs. Joystar has engaged the services of KowaBunga's Affiliate Management Team to handle all aspects of its online affiliate programs. In addition, Joystar has licensed KowaBunga's enterprise software solution, My Affiliate Program.

In January, Credit Suisse/First Boston issued a report titled, "Home Bookin' - A White Paper on the Emergence of the Home-Based Agency Channel." Below are highlights of the report:

Growth in home-based travel agents is consistent with our thesis suggesting complex travel suppliers are selling into an increasingly efficient traditional distribution platform. We forecast both volume and productivity per agent in the home-based channel, already estimated at 15,000 strong, can expand at a 10-15% CAGR over the next five years.

Home-based growth drivers include the need to reduce fixed costs, proliferation of sophisticated Web-based direct-access selling and productivity tools, validation provided by entry of major franchise groups and increasing supplier support.

The home-based agency channel is emerging as a force in travel distribution. Growth in the home-based agency channel is entirely consistent with our long-held thesis that the traditional travel agency channel is becoming increasingly efficient.

We estimate there are between 15,000 and 20,000 qualified home-based agents in the U.S., a number we expect to expand at a 10-15% pace through the end of the decade. Based on our survey work and recent precedent trends, we estimate home-based agency channel productivity could also compound at a 10% pace owing to proliferation of increasingly efficient inventory access, selling and productivity tools.

Growth in the home-based channel is being driven by a confluence of dynamics
including the need to reduce fixed costs associated with a retail location.

These tools, which greatly simplify the marketing, selling and booking of complex travel are either provided by a franchiser/host agency or are made available direct from the supplier through targeted agent-only Websites.

Experienced agents are taking their business home. These experienced travel salespeople are a dramatic departure from the legacy stereotype of the non-productive home-based agent produced by the card mills of the past. Most home-based agents brought a sizable book of business home with them and enjoyed the flexibility in a home-based environment to both better service their existing book of business and expand their customer lists.

The home -based channel is expanding from both headcount and productivity gains.

Technology and supplier support are key enablers of home-based growth.

We are witnessing strong growth across different home-based models.

Suppliers are providing increased support for the home-based channel, which typically delivers higher yields.

Some industry association contacts suggest more than 25% of travel retailers work at home.

Most home-based agents do not just emphasize, but specialize in cruise.

We expect continuous improvement in functionality tools provided by suppliers for home-based agents.

CONTACT INFORMATION

Web Site: http://ww.joystar.com/
E-mail: emily@joystar.com
Phone: 1.866.462.
