A Form DEF 14C was filed....so that's 2 PRE 14Cs and now a Form DEF 14C.
This Form DEF 14C says basically the same thing the last PRE 14C said:
January 16, 2006
To Our Stockholders:
The purpose of this Information Statement is to inform the holders of record of shares of our common stock as of the close of business on the record date, December 31, 2005, that our board of directors has recommended, and that the holder of the majority of the voting power of our outstanding capital stock intends to vote on February 7, 2006 to approve the following:
1. A grant of discretionary authority to our board of directors to implement a reverse split of the issued and outstanding shares of our common stock on the basis of one post-consolidation share for each 1,000 pre-consolidation shares to occur immediately after the action described herein;
2. An amendment to our Articles of Incorporation to provide for the creation of a second series of common stock to be known as "Series B Common Stock";
3. An amendment to our Articles of Incorporation to provide for the Change in our corporate name from International Development Corp. to Global Wataire, Inc.; and
4. The International Development Corp. 2004 Stock Plan (the "Stock Plan"), adopted by the directors on December 13, 2004, with 550,000,000 shares in the aggregate authorized under the Stock Plan.
As of the record date, 483,404,226 shares of our common stock were issued and outstanding. Each share of the common stock outstanding entitles the holder to one vote on all matters brought before the common stockholders. As of the record date 100,000 shares of our Series A preferred stock were issued and outstanding, 1,000,000 shares of our Series B preferred stock were issued and outstanding and 15,000,000 of our Series C preferred stock were issued and outstanding. Pursuant to our Certificate of Designation establishing Series A preferred stock, a holder of shares of the Series A preferred stock is entitled to the number of votes equal to the number of shares of the Series A preferred stock held by such holder multiplied by 200 on all matters submitted to a vote of our stockholders. Pursuant to our Certificate of Designation establishing Series B preferred stock, a holder of shares of the Series B preferred stock is entitled to the number of votes equal to the number of shares of the Series B preferred stock held by such holder multiplied by 500 on all matters submitted to a vote of our stockholders. Pursuant to our Certificate of Designation establishing Series C preferred Stock, a holder of shares of the Series C preferred stock is entitled to the number of votes equal to the number of shares of the Series C preferred stock held by such holder multiplied by one on all matters submitted to a vote of our stockholders.....
Not much impact though on the trading as I see it.

Reading the filings, still no dilution going on....if/when dilution happens I find it's often a pump and dump with otc/pink stocks. Of course many people think a spike is performance and only find out how many shares were dumped after the price has pulled back 100% and more from it's high.

I wish they'd **** or get off the pot...so many 14c filings about the granting of discrtionary authority to affect a Reverse Split of 1,000/1 with the date constantly moving backward. Here's the latest from yesterday:
The purpose of this Information Statement is to inform the holders of record of shares of our common stock as of the close of business on the record date, February 28, 2006, that our board of directors has recommended, and that the holder of the majority of the voting power of our outstanding capital stock intends to vote on April 13, 2006 to approve the following:
1. A grant of discretionary authority to our board of directors to implement a reverse split of the issued and outstanding shares of our common stock on the basis of one post-consolidation share for each 1,000 pre-consolidation shares to occur immediately after the action described herein;

Good morning Krill. It sounds like inuendo, rumor and putting faith in what management has to say. During the past two weeks there have been several CEO's spouting lies and distortions about their company. I have seen this free share business on many occasions and recently it has done nothing but sting the shareholders. Good luck.
Popeye,
Yeah, the same thing with spin-offs too. You get free shares in a spin-off. Those are usually worthless in penny stocks and on top of it, frequently there are restrictions on the free shares - you have to hold them for a period of time, usually 6 months to a year before you can sell them, and on top of that, here's the kicker, you get charged about $20 for an administrative or reorganization fee.
Same with reverse splits, if you get caught in one, they add insult to injury by charging $20 for that reorganization fee. At least Etrade does.

This soap opera is still on the air, but I don't think anyone is watching anymore. There were a ton of authorized shares (still are) not yet in the float and I was hoping there'd be a pump to unload them. If the volumes were any indication it might be that I wasn't the only one trying to 'get in early' as it were.....
Ah well....nothing ventured nothing gained. They finally did the 1,000:1 reverse, and now the stock hardly trades. They've cancelled their agreement with WTAF.PK and it's tanked as hard as IDVL/GWTE.
Maybe another reverse? Who knows....maybe they'll engage in toxic financing to raise some $$$$ resulting in the stock being shorted into oblivion.

down around 30 cents now, I see this thread is still watched on occassion....just wondering if anyone thinks another reverse split is in the cards? I consider it a very real possibility. They've severed ties it appears with WTAF.PK which means there really isn't even a story here, another RS and they could change the ticker symbol again I assume.
Someone who had 1 million shares was left with 1,000 after the RS. Another 1,000:1 reverse and it'll be down to one share....reminds me of AMRE.
